Bilateral Non-Disclosure and Confidentiality Agreement
Part of the foundations for The Association of Due Diligence Professionals is the very long history and commitment of The Novum Group of Companies to educating, promoting, and supporting Intellectual Property (IP) protection. The Novum Group and The Association have extensive IP policies and procedures. As part of these policies and procedures, The Association of Due Diligence Professionals uses a bilateral approach to non-disclosure and confidentiality agreements developed and in use in The Novum Group for more than a quarter century in the network of people around The Association. This approach facilitates a more open exchange of information, while still maintaining clear delineations and definitions of confidential information.
The Association of Due Diligence Professionals Non-Disclosure and Confidentiality Agreement is in accord with the most current standard, Due Diligence Standard Processes, Version 101.0.
All Association team members work under this system, including our Alliances, Advisory Board, Boards of Directors, and Contractors, and including all of the above in The Novum Group, since the early 80s, totaling in excess of 1,000 signatories; and all of The Novum Group’s Clients, totaling in excess of 5,000 signatories.

Please Note: The Association of Due Diligence Professionals normally does not consider any other non-disclosure or similar agreements. Parties wishing to have The Association of Due Diligence Professionals consider any other non-disclosure or similar agreement, or to have The Association of Due Diligence Professionals consider modifying The Association of Due Diligence Professionals Bilateral Non-Disclosure and Confidentiality Agreement, will be required to pay the charges for the necessary legal services. The Association of Due Diligence Professionals also reserves the right to reject any such requests, and typically always does so, as the costs, overhead, and very long turnaround time necessary are overly onerous, especially considering the coordination of dozens, hundreds, or thousands of signatories.
The Association of Due Diligence Professionals accepts neither responsibility for keeping any part of an unsolicited proposal confidential, nor obligation to return unsolicited proposals to the applicant. All materials, confidential or otherwise, submitted to The Association of Due Diligence Professionals by a prospect or a client will be retained or destroyed at The Association of Due Diligence Professionals’ discretion, and will not be returned to the prospect or the client unless prior arrangements are made by the prospect or client, including expenses for returning such materials.

Policies of The Association of Due Diligence Professionals
Terms and Policies
Invoices and statements are rendered to once or twice each calendar month, solely at the discretion of The Association of Due Diligence Professionals, for fees, expenses and other charges for the period. Standard payment terms are: due immediately on invoice. Any other arrangements must be agreed to in advance.
All Membership fees, Examination fees and the Due Diligence Course/Handbook fees are non-refundable.
Expense receipts are provided only for travel expenses, or for single expense items above $500. Any other arrangements must be agreed to in advance.
Detailed billing must be arranged in advance, preferably at the original contract date. Detailed invoice billing will be provided only on request, and administrative charges will be incurred.
Interest and administrative charges are made on all accounts past due, and invoices are past due 15 calendar days after the issue date of the invoices. An interest charge of a minimum of fifteen percent (15.00%), and an administrative charge of a minimum of two hundred fifty US dollars, (USD250.00) per month, will be applied for all accounts past due. The Association of Due Diligence Professionals reserves the right to charge up to the maximum rates permissible by law for any account past due. Any other arrangements must be agreed to in advance. Collection activities may result in the maximum rates permissible by law, and all collection costs will be applied to accounts sent for collection.
